Рекомендации ФНС России по применению налоговой амнистии дробления бизнесаС 12 июля 2024 года введена налоговая амнистия для организаций и ИП, использовавших в 2022-2024 гг. схему дробления бизнеса и отказавшихся от нее в последующих периодах. Недавно ФНС России опубликовала рекомендации по применению данной амнистии (Рекомендации). Рекомендации содержат 22 пункта, в обзоре приведены отдельные положения.

Федеральный инвестиционный налоговый вычет: новые поправкиСоветом Федерации одобрен очередной законопроект о внесении поправок в НК РФ. Некоторые из них касаются федерального инвестиционного налогового вычета (ФИНВ). Напоминаем, что ФИНВ вводится с 2025 года и позволит уменьшить часть налога на прибыль, зачисляемую в федеральный бюджет.

Европейский союз установил новый режим санкций в отношении России8 октября 2024 года Совет ЕС установил новый режим санкций в отношении России в ответ на дестабилизирующие / создающие угрозу безопасности действия за рубежом. Новый режим санкций теперь позволяет ввести блокирующие санкции (англ. asset freeze) в отношении лиц, причастных к действиям / политике российского правительства, которые угрожают фундаментальным европейским ценностям или безопасности, независимости и суверенитету ЕС / любого государства-члена, международной организации или третьей страны.

Росимущество требует изъятия объектов на бывшем заводе Heineken. Речь идет о сооружениях гражданской обороны, которые обнаружили на Иркутском пивобезалкогольном комбинате. 15 ноября суд должен рассмотреть иск федерального агентства к холдингу «Объединенные пивоварни», которому сейчас принадлежат активы бывшей «дочки» Heineken. Общая площадь спорных объектов — около 160 кв.

Дмитрий Бородин для Право.ru: Реформа корпоративного договора: что нужно знать
В середине лета Минэкономразвития опубликовало два законопроекта. Первый из них вносит изменения в Гражданский кодекс, второй — в законы об акционерных обществах и обществах с ограниченной ответственностью. Поправки реформируют институт корпоративного договора и должны сделать его более привлекательным инструментом для российского бизнеса. Проекты пока не внесены в Госдуму. Поправки вводят ограничение на снижение неустойки, предусматривают возможность принятия судом волезамещающего решения, расширяют основания для оспаривания решений органов управления обществ и позволяют включить в корпоративный договор элементы опциона. Марина Преображенская для газеты "Ведомости": Росимущество пытается изъять собственность бывшего завода Heineken в России
Росимущество подало иск к холдингу «Объединенные пивоварни», которому сейчас принадлежат активы ушедшей из России Heineken, с требованием передать ему сооружения гражданской обороны, которые расположены на одном из предприятий пивоваренного холдинга – Иркутском пивобезалкогольном комбинате (бывшая «Пивоварня Хейнекен Байкал»). Это следует из материалов Арбитражного суда Иркутской области, с которым ознакомились Ведомости.

Дмитрий Бородин для газеты "Коммерсантъ": Минэкономики предложило расширить режим экономически значимых организаций
Минэкономики планирует расширить признание компаний экономически значимыми организациями (ЭЗО). Это позволяет блокировать корпоративные права иностранных холдингов в их отношении. Режим будет распространен и на «значимые» дочки ЭЗО. Это должно вернуть головным компаниям достаточный контроль над предприятиями группы и их финансовыми потоками, иначе высоки риски несанкционированных сделок и разногласий между предприятиями группы, отмечают юристы. По их подсчетам, количество «значимых» «дочек» компаний, уже признанных ЭЗО, может исчисляться десятками. |
