Vegas-Lex advises UFG on legal aspects of WGK-3 formation
“United Financial Group” has chosen “Vegas-Lex” as a legal consultant on issues related to WGK-3 (Wholesale Generation Company-3) formation. “Vegas-Lex” attorneys will conduct a legal analysis of the WGK-3 formation scenario selected by its shareholders. In particular, they will focus on legal aspects of the upcoming additional issue of shares following the full absorption of constituent Power Plants (SDPPs) into WGK-3. Previously JSC “RAO UES” has chosen the consortium of Deutsche Bank AG and UFG to be its financial advisor on issues related to the planned transition of JSC “WGK-3” to a single stock. WGK-3 is being formed through a merger of JSC “Kostroma SDPP”, JSC “Pechora SDPP”, JSC “Gusinoozersk SDPP”, JSC “Kharanorsk SDPP”, JSC “Cherepets SDPP”, JSC “Yujnouralsk SDPP”. The latter has been previously a part of JSC “Chelyabenergo”, the rest are federal power plants controlled by RAO UES. Currently WGK-3 is a 100% subsidiary of RAO UES.
