Transaction support within the context of government control of economic concentration
- Legal analysis of the likelihood that the antitrust agency will refuse to approve a transaction
- Prepare and submit documents to FAS Russia to endorse transactions on economic concentration or approve a joint venture
- Act on transactions that establish control by foreign investors over strategic Russian companies
- Prepare a position and establish the client’s evidentiary basis in order to remove or minimize fines assessed by FAS Russia
- Represent market participants in proceedings before FAS Russia and its regional agencies
- Represent clients in FAS Russia’s administrative proceedings
- Represent clients in court in cases that challenge FAS Russia’s decisions and orders
- Represent clients in court in cases to recover damages for violations of antimonopoly laws, including class action claims
- Develop a system to prevent antitrust risks and eliminate adverse consequences
- Comprehensive due diligence of client’s business as to its compliance with Russian antitrust legislation (antitrust audit)
- Compile a matrix of antitrust risks
- Develop recommendations to minimize antitrust risks and business models
- Develop organizational and legal measures to minimize risks of violating antimonopoly laws, including:
- prepare internal in-house directives
- prepare draft contracts with counterparties
- Legal advice on issues of unfair competition and abuse of a dominant position
- Develop a training system for personnel in order to preclude unlawful anticompetitive behavior of employees
- Develop legal basis for changes to laws and regulations
- Develop draft amendments to laws and statutes and regulations
- Prepare action plan to introduce the proposals and coordinate client’s initiatives with government agencies
- Organizational and legal support of client’s initiatives at government agencies
